Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProofCap (the "Service"), a forensic financial verification platform for SaaS acquisitions. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ProofCap connects to third-party platforms (such as Stripe and Google Analytics) via read-only OAuth connections you authorize, and uses that data to generate forensic audit reports, scores, and shareable verification badges for SaaS businesses listed in our registry or submitted by users.

2. Accounts

  • You must provide accurate information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must be at least 18 years old and have the authority to bind the business you represent, if any.
  • Notify us immediately if you become aware of any unauthorized use of your account.

3. Connected Accounts & Authorization

By connecting a Stripe, Google Analytics, or other third-party account to ProofCap, you represent and warrant that you have the legal right to grant ProofCap read-only access to that account's data — whether it is your own business or one you have been authorized to audit, for example as part of an acquisition process. You are responsible for ensuring your use of the Service complies with the terms of those third-party platforms.

4. Subscriptions, Fees & Cancellation

4.1 Fees

Paid plans are billed in advance on a recurring basis (monthly or annually) as described at checkout. Fees are non-refundable except where required by law.

4.2 Free trials

We may offer a free trial period. Unless you cancel before the trial ends, your subscription will automatically begin and you will be billed at the applicable rate.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and we do not provide refunds for partial periods.

5. Acceptable Use

You agree not to:

  • Use the Service to audit accounts you do not own or are not authorized to access;
  • Attempt to interfere with, reverse engineer, or gain unauthorized access to the Service or its underlying systems;
  • Use the Service to generate, publish, or share misleading or fraudulent verification reports;
  • Violate any applicable law or the rights of any third party; or
  • Use automated means to scrape or excessively query the Service outside of documented API usage.

6. Audit Reports — Accuracy & Disclaimers

ProofCap's reports represent a plausibility assessment based on data available from connected third-party platforms at the time the audit was run. While we aim for accuracy, ProofCap:

  • does not independently verify the underlying data held by Stripe, Google Analytics, or other connected platforms;
  • does not guarantee that any report is complete, error-free, or free from manipulation upstream of the connected platform; and
  • does not provide financial, accounting, legal, tax, or investment advice.

Reports are intended to support, not replace, your own due diligence and professional advisors. Any decision to proceed with a transaction based on a ProofCap report is made at your own risk.

7. Shareable Reports & Verification Badges

If you generate a shareable report link or embeddable verification badge, anyone with that link — or who satisfies any access controls you configure, such as a password — will be able to view the report. You are responsible for managing and revoking access to links you create.

8. Intellectual Property

ProofCap and its original content, features, and functionality are owned by ProofCap and protected by applicable intellectual property laws. You retain ownership of any data you connect or upload ("Your Data"); you grant ProofCap a license to use Your Data solely to provide and improve the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, ProofCap will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of, or reliance on, the Service or any report generated by it.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, us, or third parties.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which ProofCap is established, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Service. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
